The short version: quotations are valid for the period stated and are not binding until confirmed in writing; standard terms are FOB Tema with SWIFT transfer or letter of credit; samples ship at courier cost; and every order is backed by a Certificate of Analysis.
01Quotations
Quotations issued by Mother's Shea Ltd are valid for 14 days from the date issued unless otherwise stated, and are subject to raw material availability and prevailing exchange rates at the time of order confirmation. A quotation is not an offer capable of acceptance and does not constitute a binding contract until confirmed under Section 2.
Prices quoted are per the specification, packaging, and Incoterm stated in the quotation. Any change to volume, grade, packaging, or destination may result in a revised price.
02Orders & confirmation
An order is confirmed once we've received your written purchase order or signed pro-forma invoice, and — for orders requiring advance payment — the applicable deposit. We'll issue a written order confirmation stating the final specification, quantity, price, Incoterm, and estimated ship date.
Once confirmed, an order may only be amended or cancelled with our written agreement, and may be subject to a cancellation charge covering costs already incurred.
03Pricing & Incoterms
Unless a quotation states otherwise, our standard trading term is FOB Tema, Ghana (Incoterms 2020). We also quote CIF, EXW, and DDP on request; the applicable term and the point at which risk and cost transfer to the buyer will always be stated on the quotation and order confirmation.
| Incoterm | Risk transfers to buyer |
|---|---|
| EXW | At our Tamale facility |
| FOB Tema | Once goods pass the ship's rail at the port of Tema |
| CIF | Once goods pass the ship's rail at the port of origin; we arrange freight & insurance to destination port |
| DDP | On delivery to the named destination, duties paid |
04Payment terms
We accept payment by bank transfer (SWIFT) or irrevocable letter of credit (L/C) confirmed by a bank acceptable to us. Standard terms for new buyers are 50% deposit on order confirmation and the balance against shipping documents; standing buyers with an established payment history may qualify for revised terms.
- All bank charges outside Ghana are the buyer's responsibility
- Goods remain the property of Mother's Shea Ltd until payment is received in full
- Late payment may incur interest at 1.5% per month on the overdue balance
05Samples
Product samples are provided free of charge for a first request; courier costs are billed to the buyer at cost, payable in advance of dispatch. Sample specifications are representative of the current production batch, and while we aim for consistency, bulk shipments are subject to the same natural variation inherent to an agricultural product.
06Quality & inspection
Every shipment is accompanied by a Certificate of Analysis confirming key specifications (free fatty acid, moisture, iodine value, and peroxide value for shea butter; equivalent parameters for black soap) tested at the time of production. Buyers are welcome to arrange independent pre-shipment inspection at their own cost; we'll cooperate reasonably with any inspection agency you appoint.
Any quality claim must reference the batch number on the Certificate of Analysis and be raised within the window set out in Section 8.
07Shipping & lead times
Estimated ship dates are provided in good faith based on production planning and vessel schedules at the time of order confirmation, but are not guaranteed. Standard lead time for a full container is 3–5 weeks from order confirmation and receipt of deposit, subject to raw material availability during off-season periods.
We'll notify you promptly of any material delay and provide a revised estimate; delay alone does not entitle either party to cancel a confirmed order unless it exceeds 60 days beyond the original estimate.
08Claims & returns
Any claim relating to quantity or visible condition on arrival must be raised within 7 days of delivery, supported by photographic evidence and, where relevant, an independent inspection report. Claims relating to quality against the Certificate of Analysis must be raised within 30 days of delivery.
Where a claim is upheld, our liability is limited to replacement of the affected quantity or a corresponding credit note, at our discretion — not consequential loss, as set out in Section 11.
09Force majeure
Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including but not limited to adverse weather affecting harvest, port congestion or closure, strikes, civil unrest, or government action. The affected party will notify the other promptly and both will work in good faith toward a revised timeline.
10Intellectual property
All trademarks, product photography, and written content on this site remain the property of Mother's Shea Ltd. Private-label and custom-packaging arrangements are governed by a separate agreement executed for that purpose, which takes precedence over this section for the packaging in question.
11Limitation of liability
To the extent permitted by law, our total liability arising from any order is limited to the value of that order. We are not liable for indirect or consequential losses, including loss of profit, loss of contracts, or reputational loss, whether arising in contract, tort, or otherwise.
12Governing law
These terms are governed by the laws of the Republic of Ghana. Any dispute not resolved through direct negotiation will be referred to arbitration in Accra, Ghana, under the Alternative Dispute Resolution Act, 2010 (Act 798), unless the parties agree otherwise in writing.
13Amendments
We may update these terms from time to time; the version in effect at the date of your order confirmation governs that order. The "last updated" date at the top of this page reflects the most recent revision.
